Topic: IP in the Mix: Mastering the M&A Maze

This panel discussion will focus on the intersection between corporate mergers and acquisitions and intellectual property law. The panel members bring their perspectives on navigating complex corporate deals and protecting intellectual property to show how counsel can collaborate effectively and efficiently through all stages of the deal to ensure all intellectual property assets are identified, verified, disclosed, and ultimately transferred to the new entity. The panel will provide practical tips to facilitate a smooth process, including defining the scope of the work needed from the IP professionals; setting up an organized data room; differentiating material IP issues from immaterial ones; identifying red flags; reviewing operative licenses and insurance agreements; and preparing a post-closing plan that includes, e.g., assignments of patents, payment of maintenance fees, and transfer of domain and trademark registrations.
